The Counsel position will assist the Vice President, General Counsel in handling all legal matters of the company. Main responsibilities will include advising on legal issues involving commercial contracts; laws and regulations; policies and procedures; litigation; and, HR matters. Areas of focus will include reviewing, drafting, and negotiating various agreements with customers and suppliers; providing legal advice to different internal departments. The candidate must be able of developing and/or utilizing a broad legal skillset to provide guidance across many areas of law.

PRIMARY RESPONSIBILITIES INCLUDE:

  • Drafting, preparing, reviewing, and negotiating agreements such as Non-Disclosure Agreements, Professional Services Agreements, Statements of Work, Software License Agreements, Technical Support Agreements, Procurement Agreements, and other commercial agreements.
  • Providing advice and counsel to the company in connection with operations, employment, contractual, transactional, litigation, and other legal matters.
  • Interacting with internal and external parties on behalf of the company regarding contracts and business transactions, corporate business issues, and other issues that may arise both domestically and internationally
  • Performing legal research and preparing memoranda.
  • Advising on best practices and compliance with domestic and international laws, including compliance, labour and employment, and data protection.

 

Experience and Skills:

  • J.D. (or equivalent if earned outside the USA).
  • Fully fluent in English and German
  • Experience and expertise acquired through a minimum of five (5) years of relevant experience as a licensed practicing attorney, preferably with in-house experience.
  • Legal experience in logistics, supply chain, and/or construction preferred.
  • The ability to work effectively with internal and external legal and business teams.
  • Experience dealing with domestic and international legal matters including corporate, contractual, employment, intellectual property, and commercial issues.
  • Must have excellent interpersonal, written, and verbal communication skills, in English.
  • Self-directed with a high degree of attention to detail and ability to multi-task and prioritize.
  • Strong organizational, time management, and problem-solving skills
  • Ability to travel domestically and internationally
